Role Overview: Our Calgary office is currently seeking an experienced paralegal to work with the Corporate Services team, reporting to the Supervisor, Corporate Services, Calgary. This individual will serve as a paralegal in support of our busy and growing corporate practice and manage substantive level business law transactions. The successful candidate will be responsible for: Drafting substantive legal documentation relating to corporate transactions for Alberta and Federal corporations including, but not limited to, incorporations, amalgamations, continuances, reorganizations, financings, dissolutions, revivals, amendments, and arrangements.

Providing closing assistance for large-scale transactions in support of various deal teams. Conducting in-depth due diligence for large-scale transactions. Conducting research and providing written analysis of findings.

Interfacing directly with lawyers on client matters. Communicating with clients as required and managing client relationships. The successful candidate must have the following education, experience and/or demonstrated skills: CORES III accreditation 8 years experience as a corporate law clerk at a large law firm.

Possess a broad foundation of legal concepts, experience and applications relevant to the practice of Corporate Law, including extensive knowledge of the Business Corporations Act (Alberta) and the Canada Business Corporations Act. Paralegal accreditation or university degree. Strong computer skills including Microsoft Office.

Previous experience with Athennian, EnAct and Oncorp will be considered a strong asset. Very strong interpersonal and team leadership skills. Ability to organize and prioritize workload in a busy environment.

Excellent drafting and proofreading skills. Excellent written and oral communication skills. Ability to exercise independent judgment.
