Working in a dynamic, collaborative, team-based environment and reporting to the Head, Western Canada Commercial Banking, Private Banking & National Client Group, the Director, Execution, will play an integral role in the credit structuring, execution, quality and growth of the National Client Group portfolio while maintaining a strong client-centric focus throughout. Through a demonstrated results-orientation, the Director, Execution, will partner with the Directors of Origination in growing a portfolio of complex senior debt lending relationships comprised of both bilateral and syndicated transactions (both participant and lead mandates).

The successful candidate will be highly motivated with a demonstrated track-record of successfully negotiating, underwriting, and structuring senior lending relationships across various industry verticals. Your role: Perform high-quality credit analysis and deal structuring activities in accordance with Bank standards while partnering with the Directors of Origination, National Client Group (Relationship Management), in managing and growing an existing portfolio(s) of complex lending relationships. Work closely with clients/prospects, financial advisors, private equity sponsors and internal banking partners (i.e. derivative hedging, loan syndications and investment banking) to perform required transaction due diligence. Structure and prepare well-articulated credit presentations, under the oversight of the Head, Credit Execution, National Client Group, that recommend financing solutions that meet client needs while also remaining within the Bank’s defined risk appetite.

Negotiate credit terms with the client, in conjunction with the Directors of Origination, National Client Group (Relationship Management), and work closely with Credit Risk Management to authorize and close credit transactions in accordance with the Bank’s risk framework. Maintain portfolio compliance in accordance with Bank policies and monitor credit quality, raising significant issues/concerns to the Head, Credit Execution, National Client Group, as appropriate. Review and work with loan documentation – including Credit Agreements, ISDAs and term sheets – to ensure that they conform to the parameters of the Bank’s credit authorization. Participate in the structuring and socialization of new transaction opportunities (i.e. new relationships, credit increases/restructures and refinancings) with the Directors of Origination, National Client Group (Relationship Management), and under the oversight of the Head, Credit Execution, National Client Group.

Work in close collaboration with Associates and Client Account Representatives on credit submission requests and ensure that client and collateral files are updated in a timely manner. Serve as a strong credit resource within the team and support the Head, Credit Execution, National Client Group, as required, in (i) ensuring the credit quality of the National Client Group portfolio and (ii) developing the competencies of junior team members. Assist with credit structuring, underwriting and portfolio management matters requiring heightened/priority attention in the absence of the Head, Credit Execution, National Client Group. Your Team: As a member of National Bank’s Central and Western National Client Group team, you are part of a dynamic and highly motivated team and report to the Head, Western Canada Commercial Banking, Private Banking & National Client Group.

The portfolio consists of large Canadian private businesses coupled with private equity sponsor-backed deals across diversified industries (incorporating both bilateral and syndicated transactions). Working hours are largely dictated by portfolio demands with occasional non-standard working hours under a hybrid working). Basic requirements: Bachelor’s degree in a related field (business, finance, economics) and a minimum 7-10 years’ experience in Corporate or upper mid-market Commercial Banking.

Professional designation(s) and/or an advanced degree is considered a strong asset. Strong knowledge of credit underwriting, loan structuring (bilateral/syndicated transactions) and financial statement analysis. Demonstrated experience and proficiency in: o Reviewing, understanding and analyzing financial models and capital structures within the context of lending transactions. o Cash flow and leveraged lending in addition to traditional corporate lending structures. o Reviewing, understanding and working with complex loan documentation such as Credit Agreements. o Client negotiation and/or portfolio relationship management. Strong computer skills, including Microsoft Word, Excel, PowerPoint and other platforms customarily used in a lending environment.
