Job Description

Our Client:

A leading global alternative asset manager is seeking a licensed lawyer with experience in private equity funds and/or alternative asset classes, ideally with exposure to debt-related matters. This role offers the opportunity to work in a fast-paced, entrepreneurial environment, supporting fundraising, fund formation, marketing, and capital management activities, with a focus on open-ended fund products.


Key Responsibilities

  • Draft and negotiate fund formation documents, including offering memorandums, LP agreements, subscription documents, and side letters
  • Support bespoke investment vehicle formations and fundraises, including rated products
  • Review investor marketing materials and manage closings of new commitments
  • Collaborate with capital management and portfolio teams on capital-raising and debt platform initiatives
  • Negotiate credit facilities and other debt instruments
  • Manage external counsel on fund formation, fundraising, and debt-related matters


Qualifications

  • JD with 3+ years of relevant fund-related experience
  • Background in a major law firm and/or fast-paced corporate environment
  • Licensed in Ontario and/or the U.S.
  • Experience in fundraising, fund formation, marketing, or capital management
  • Debt and credit agreement experience an asset
  • Commercial, solution-oriented mindset and collaborative approach
